Overview

Shareholder activism involving public companies is an important corporate governance phenomenon. This unit explores the regulatory implications of shareholder activism. By the conclusion of this unit, students will acquire an understanding of the varying nature of shareholder activists, the different corporate governance opportunities and risks presented by the respective forms of activism, and the key regulatory ‘flashpoints’ in the regulation of activism. As shareholder activism is an international phenomenon, this course will adopt a comparative perspective, drawing on empirical evidence, commentary and regulatory responses from jurisdictions in North America, Europe and Australasia.

Learning outcomes

  1. Demonstrate a critical understanding of the nature and regulatory risks and benefits of shareholder activism, both in Australia and internationally;
  2. Investigate, analyse and synthesise complex information, problems and concepts in relation to the practice and regulation of shareholder activism, and discuss these matters with confidence;
  3. Work collaboratively within a group to conduct research in relation to shareholder activism, based on knowledge of appropriate research principle and methods; and present the findings in a real-world context;
  4. Use cognitive, technical and creative skills to generate and evaluate at an abstract level complex ideas and concepts relevant to the practice and regulation of shareholder activism.
